1. What this page is

This page sets out the limits of what we do and of what you read here. It sits alongside our terms of service, which is the agreement between us.

2. We are not a law firm, an accountancy firm or a tax adviser

We are a filing service. We are not a law firm, we are not an accountancy firm, and we are not a tax adviser. Nobody here acts as your lawyer, your accountant or your tax agent. Using our website or ordering from us does not create an attorney–client relationship or an accountant–client relationship, and it does not make anything you tell us privileged.

3. When you should hire a licensed professional instead

Please take proper advice, in the right country, before you act — in particular if:

  • there is more than one owner and you need an operating agreement negotiated, a buy-out written, or a disagreement between owners resolved;
  • your visa, residence or immigration status is affected by owning or working for a US company;
  • you want to rely on a tax treaty position, or on a particular characterisation of your income;
  • someone has threatened a claim, you have been served with court papers, or you are already in a dispute;
  • you plan to raise money from investors, issue equity or tokens, or do anything else that touches securities law;
  • your industry is regulated — for example finance, money transmission, insurance, healthcare, alcohol, firearms or gambling — and you need licences before you trade.

We are glad to form the company. We cannot be the professional who advises you on any of the above.

4. We act on the information you give us

You choose the state, the structure, the company name, the ownership split and the tax treatment. We prepare and submit filings using what you confirm, and we check them for completeness against what the agency requires — not for whether they are the right choice for you.

  • We do not choose for you. We do not decide which state suits your business, whether an LLC is better than a corporation, or how your company should be taxed.
  • We do not review documents for legal sufficiency. If you upload or ask about an operating agreement, a contract or a resolution, we can store it and file what the state asks for. We cannot tell you whether it protects you.
  • We cannot represent you. We cannot appear or argue for you before a state agency, the IRS or a court. For the IRS that work is limited to people the IRS recognises, such as an attorney, a CPA or an enrolled agent.

5. Guides, calculators and the figures we publish

Our guides, comparisons and calculators are general information. They can go out of date, they are not tailored to your situation, and they are not a substitute for advice about your own facts.

State filing fees, franchise taxes, annual report deadlines and processing times change without notice. The figures shown on this site are what the state published when we last synced them, and the page shows that date. The state's own website is the authority — if a number matters to your decision, check it at the source first.

6. We cannot promise an outcome

The decisions that matter most are not ours to make:

  • States and the IRS decide whether to accept a filing, whether to ask for more information, and how long it takes.
  • Banks, payment processors and marketplaces decide whether to open an account for your company and whether to keep it open. They apply their own rules and can change them.

So we cannot promise approval, a date, a bank account, a Stripe or PayPal account, a particular tax result, or that the name you want will be accepted. Anyone who promises you those things is guessing.

7. Company names and trademarks

A name check tells you what a state database showed at the moment we looked. It is not a reservation, and it does not bind the state — the filing office makes the final decision when it reviews your documents.

Registering a company name with a state is not a trademark. It does not stop anyone else using that name in another state or in another country, and it gives you no national rights to a brand. If your brand matters, speak to a trademark attorney or start with the searches and guidance published by the United States Patent and Trademark Office.

8. Forming a US company does not settle your tax position

Forming a US LLC does not, by itself, make you tax-free anywhere. What you owe depends on facts we do not assess and cannot see — where you work from, where your customers and staff are, whether your income is effectively connected with a US trade or business, whether you have a permanent establishment, payroll, sales tax registrations, and the residence rules where you live.

US federal, state and home-country obligations can all apply at once, and filing duties often continue even when no tax is due. If your plan depends on a tax outcome, get it confirmed by a qualified US tax adviser and by one where you live, before you rely on it.

9. Other companies, logos and comparisons

Third-party names and logos on this site belong to their owners. We show them to indicate compatibility, or to compare publicly available pricing. They do not mean the company endorses us, is partnered with us or has reviewed anything we say.

Comparison pages reflect information those companies published on the date shown on the page. Prices and features change, so check their current terms before you decide.

10. Our AI assistant

The site has an AI assistant called Ella. Its answers are generated by a third-party AI model from the questions you type. It can be wrong, out of date or incomplete, it is not legal, tax or accounting advice, and nothing it says changes our terms, sets a price or creates a commitment on our side.

Treat it as a starting point. Before you act on anything important, confirm it with our team at [email protected]. What you type is sent to our AI provider, so please do not paste passwords or documents you would not want to share — our privacy policy explains how we handle it.

11. Reviews, numbers and claims

We do not publish invented reviews, testimonials or customer counts. Where we quote a figure, it comes from the source we link to on that page, and it is accurate as far as we know on the date shown. If you think something we have published is wrong, tell us and we will correct it.

12. Links to other websites

We link to state filing offices, the IRS and other useful sites for convenience. We do not control them, we are not responsible for their content or their accuracy, and a link is not an endorsement. Their terms and privacy practices apply once you leave our site.
